The SEC today posted a Sunshine Act notice on its
website stating that the Commission will consider JOBS Act Title II rules at an
open meeting scheduled for Wednesday August 22, 2012. Title II of the JOBS Act
requires the Commission to adopt rules to remove the ban on general advertising
and general solicitation contained in Securities Act Regulation D Rule 506 and Securities
Act Rule 144A(d)(1).
Also at this meeting, the
Commission will consider whether to adopt disclosure rules to implement
Dodd-Frank Act provisions regarding conflict minerals and resource extraction
issuers. These rules are required under Dodd-Frank Act Sections 1502 and 1504,
respectively.
