Michigan Clarifies Investment Company Notice Filing Requirement

Investment company issuers filing a notice to offer or sell federal covered securities in Michigan under Section 18(b)(2) of the Securities Act of 1933 must file with the Administrator before the initial offer or sale a Form NF, Uniform Investment Company Notice Filing, a consent to service of process and a $500 fee. Issuers filing with the SEC an amendment to their registration statement after the initial offer must send the Administrator a copy of the amendment.

The above requirement appears in a Michigan administrative order from September 30, 2009 to correct the requirement as it appeared in an administrative order from September 1, 2009.
